This Registration Statement registers the offering and issuance of Ordinary Shares pursuant to equity awards that (i) are outstanding under the Stratasys Ltd. Amended and Restated 2004 Omnibus Stock Option and Restricted Stock Incentive Plan (the “2004 Plan” or the “Stratasys Ltd. Plan”); and (ii) are outstanding under the Stratasys, Inc. 1998 Incentive Stock Option Plan, Stratasys, Inc. 2000 Incentive Stock Option Plan, Stratasys, Inc. 2002 Long-Term Performance and Incentive Plan and Stratasys, Inc. 2008 Long-Term Performance and Incentive Plan (collectively, the “Stratasys, Inc. Plans”, and together with the Stratasys Ltd. Plan, the “Plans”). Each of the Stratasys, Inc. Plans was assumed by the Registrant as a result of the consummation on December 1, 2012 of the transactions contemplated by the Agreement and Plan of Merger, dated as of April 13, 2012, by and among the Registrant (formerly known as Objet Ltd.), Stratasys, Inc., Seurat Holdings Inc., an indirect wholly-owned subsidiary of the Registrant (“Holdco”), and Oaktree Merger Inc., a direct wholly-owned subsidiary of Holdco, as amended.

EXPLANATORY NOTE

 

This Registration Statement on Form S-8 (this “Registration Statement”) registers the issuance and sale of a total of up to 4,394,681 ordinary shares, par value New Israeli Shekel (“NIS”) 0.01 per share (“Ordinary Shares”), of Stratasys Ltd. (“Stratasys,” the “Company,” the “Registrant,” “our company,” “we” or “us”) that may potentially be issued or sold by the Registrant to its and/or its subsidiaries’ officers, employees, directors and consultants, consisting of (i) 3,290,916 Ordinary Shares issuable pursuant to outstanding equity grants under the Stratasys Ltd. Amended and Restated 2004 Omnibus Stock Option and Restricted Stock Incentive Plan (the “2004 Plan” or the “Stratasys Ltd. Plan”), and (ii) a total of 1,103,765 Ordinary Shares issuable pursuant to outstanding equity grants under the Stratasys, Inc. 1998 Incentive Stock Option Plan, Stratasys, Inc. 2000 Incentive Stock Option Plan, Stratasys, Inc. 2002 Long-Term Performance and Incentive Plan and Stratasys, Inc. 2008 Long-Term Performance and Incentive Plan (collectively, the “Stratasys, Inc. Plans”, and together with the Stratasys Ltd. Plan, the “Plans”), respectively. The Stratasys, Inc. Plans were assumed by the Registrant on December 1, 2012 as a result of the consummation of the transactions whereby Stratasys, Inc. became a wholly-owned subsidiary of the Registrant, pursuant to the Agreement and Plan of Merger (as amended, the “Merger Agreement”), dated as of April 13, 2012, by and among the Registrant, Stratasys, Inc., Seurat Holdings Inc., an indirect wholly-owned subsidiary of the Registrant (“Holdco”), and Oaktree Merger Inc., a direct wholly-owned subsidiary of Holdco.  The offer and sale of those 1,103,765 Ordinary Shares under the Stratasys, Inc. Plans were initially registered by the Registrant on the Registration Statement on Form F—4 (File No. 333—182025), which the Registrant initially filed on June 8, 2012 and which became effective on August 8, 2012 (the “Form F-4”).

 

All filing fees payable in connection with the registration of the offer and sale of the 1,103,765 Ordinary Shares covered by the Stratasys, Inc. Plans were paid by the Registrant to the Securities and Exchange Commission (the “Commission”) at the time of the initial filing of the Form F-4.

Item 6.  Indemnification of Directors and Officers.

 

An Israeli company may indemnify an office holder (that is, a (i) general manager, (ii) chief business manager, (iii) deputy general manager, (iv) vice general manager, (v) any other person assuming the responsibilities of any of the forgoing positions without regard to such person’s title, (vii) director and (viii) any other manager directly subordinate to the general manager), in respect of certain liabilities either in advance of an event or following an event, provided that a provision authorizing such indemnification is inserted in its articles of association. Our articles of association contain such a provision. An undertaking provided in advance by an Israeli company to indemnify an office holder with respect to a financial liability imposed on him or her in favor of another person pursuant to a judgment, settlement or arbitrator’s award approved by a court must be limited to events which in the opinion of the board of directors can be foreseen based on the company’s activities when the undertaking to indemnify is given, and to an amount or a criteria determined by the board of directors as reasonable under the circumstances, and such undertaking must detail the above-mentioned events and amount or criteria.

 

In addition, a company may indemnify an office holder against the following liabilities incurred for acts performed as an office holder:

 

· reasonable litigation expenses, including attorneys’ fees, incurred by the office holder as a result of an investigation or proceeding instituted against him or her by an authority authorized to conduct such investigation or proceeding, provided that (i) no indictment was filed against such office holder as a result of such investigation or proceeding; and (ii) no financial liability, such as a criminal penalty, was imposed upon him or her as a substitute for the criminal proceeding as a result of such investigation or proceeding or, if such financial liability was imposed, it was imposed with respect to an offense that does not require proof of criminal intent; and

 

· reasonable litigation expenses, including attorneys’ fees, incurred by the office holder or imposed by a court in proceedings instituted against him or her by the company, on its behalf or by a third party or in connection with criminal proceedings in which the office holder was acquitted or as a result of a conviction for a crime that does not require proof of criminal intent.

 

An Israeli company may insure a director or officer against the following liabilities incurred for acts performed as a director or officer:

 

· a breach of duty of care to the company or to a third party, including a breach arising out of the negligent conduct of an office holder;

· a breach of duty of loyalty to the company, provided the director or officer acted in good faith and had a reasonable basis to believe that the act would not prejudice the interests of the company; and

· financial liabilities imposed on the office holder for the benefit of a third party.

 

An Israeli company may not indemnify or insure an office holder against any of the following:

 

· a breach of duty of loyalty, except to the extent that the office holder acted in good faith and had a reasonable basis to believe that the act would not prejudice the company;

· a breach of duty of care committed intentionally or recklessly, excluding a breach arising out of the negligent conduct of the office holder;

· an act or omission committed with intent to derive illegal personal benefit; or

· a fine levied against the office holder.

 

Under the Israeli Companies Law, 1999, indemnification and insurance of office holders must be approved by our audit committee and board of directors and, in respect of our directors, by our shareholders as well. Our

directors and officers are currently covered by a directors’ and officers’ liability insurance policy with respect to specified claims. To date, no claims for liability have been filed under this policy. The extent of the coverage under this policy has been expanded as a result of the consummation of the merger by and among the Company (formerly known as Objet Ltd.), Stratasys, Inc. and two indirect subsidiaries of the Company (to which we refer hereinafter as the merger), pursuant to which we became a public, reporting company, in light of the greater exposure to which our directors and officers are subject as a public company listed in the United States. In connection with the merger, we also entered into indemnification agreements with each of our directors and officers and the directors and officers of our subsidiaries providing them with indemnification for liabilities or expenses incurred as a result of acts performed by them in their capacity as our, or our subsidiaries’, directors and officers.

 

Under the terms of the agreement providing for the merger, or the merger agreement, we also agreed to honor all rights to indemnification and exculpation existing in favor of a director or officer of Stratasys, Inc. or its subsidiaries under Stratasys, Inc.’s certificate of incorporation and bylaws (or under a subsidiary’s comparable organizational documents), and under and any indemnification or other similar agreements, that were in effect on the date of the merger agreement. From the effective time of the merger until the sixth anniversary of the effective time, we will also cover the directors and officers of Stratasys, Inc. and its subsidiaries with respect to acts or omissions occurring prior to the effective time of the merger under the pre-existing directors’ and officers’ liability insurance policy maintained by our company as of the date of the merger agreement or under a comparable policy with limits, terms and conditions at least as favorable as the limits, terms and conditions in the former policy of Stratasys, Inc.

 

Each of the foregoing indemnification obligations is limited both in terms of amount and coverage. In the opinion of the Commission, however, indemnification of directors and office holders for liabilities arising under the Securities Act is against public policy and therefore unenforceable.
